Please read terms of use (a.k.a. terms of service) below for information on visiting, using, and registering with Golfswingexperts.com (Global Solutions Enterprises LLC).

  1. 1. ACCEPTANCE OF TERMS

Welcome to Golfswingexperts.com (“Golfswingexperts”). Global Solutions Enterprises LLC. Golfswingexperts offers this website to you subject to these Terms of Use / Terms of Service (“TOS”) and any other rules or guidelines that may be published by Golfswingexperts on a periodic basis (any of which may be updated by Golfswingexperts from time to time) (collectively, the “Agreement”). By accessing and using the Golfswingexperts’s services, you accept and agree to be bound by the terms and provision of this Agreement. In addition, when using particular Golfswingexperts owned or operated services, you shall be subject to any posted guidelines or rules applicable to such services, which may be posted and modified from time to time. All such guidelines or rules are hereby incorporated by reference into the TOS.

This means that you, and not Golfswingexperts, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the Golfswingexperts services. Golfswingexperts does not control the Content posted via the Golfswingexperts services and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Golfswingexperts services, you may be exposed to Content that is offensive, indecent or objectionable.   2. harm minors in any way;
  3. impersonate any person or entity, including, but not      limited to, a Golfswingexperts official, forum leader, guide or host, or      falsely state or otherwise misrepresent your affiliation with a person or      entity;
  4. forge headers or otherwise manipulate identifiers in      order to disguise the origin of any Content transmitted through the Golfswingexperts      Service;
  5. upload, post, email, transmit or otherwise make      available any Content that you do not have a right to make available under      any law or under contractual or fiduciary relationships (such as inside      information, proprietary and confidential information learned or disclosed      as part of employment relationships or under nondisclosure agreements);
  6. upload, post, email, transmit or otherwise make      available any Content that infringes any patent, trademark, trade secret,      copyright or other proprietary rights (“Rights”) of any party;
  7. upload, post, email, transmit or otherwise make      available any unsolicited or unauthorized advertising, promotional      materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any      other form of solicitation, except in those areas (such as shopping) that      are designated for such purpose;
  8. upload, post, email, transmit or otherwise make      available any material that contains software viruses or any other      computer code, files or programs designed to interrupt, destroy or limit      the functionality of any computer software or hardware or      telecommunications equipment;
  9. disrupt the normal flow of dialogue, cause a screen to      “scroll” faster than other users of the Golfswingexperts services are able      to type, or otherwise act in a manner that negatively affects other users’      ability to engage in real time exchanges;
  10. interfere with or disrupt the Golfswingexperts services      or servers or networks connected to the Golfswingexperts services, or      disobey any requirements, procedures, policies or regulations of networks      connected to the Golfswingexperts services, including using any device,      software or routine to bypass our robot exclusion headers;
  11. intentionally or unintentionally violate any applicable      local, state, national or international law;
  12. provide material support or resources (or to conceal or      disguise the nature, location, source, or ownership of material support or      resources) to any organization(s) designated by the United States      government as a foreign terrorist organization pursuant to section 219 of      the Immigration and Nationality Act;
  13. “stalk” or otherwise harass another; and/or
  14. collect or store personal data about other users in      connection with the prohibited conduct and activities set forth in      paragraphs a through m above.

You acknowledge that Golfswingexperts may or may not pre-screen Content, but that Golfswingexperts and its designees shall have the right (but not the obligation) in their sole discretion to pre-screen, refuse, or remove any Content that is available via the Golfswingexperts services. Without limiting the foregoing, Golfswingexperts and its designees shall have the right to remove any Content that violates the TOS or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, you acknowledge that you may not rely on any Content created by Golfswingexperts or submitted to Golfswingexperts, including without limitation information in Golfswingexperts Message Boards and in all other parts of the Golfswingexperts services.

You understand that the Golfswingexperts services and software embodied within the Golfswingexperts services may include security components that permit digital materials to be protected, and that use of these materials is subject to usage rules set by Golfswingexperts and/or content providers who provide content to the Golfswingexperts services. You may not attempt to override or circumvent any of the usage rules embedded into the Golfswingexperts services. Any unauthorized reproduction, publication, further distribution or public exhibition of the materials provided on the Golfswingexperts services, in whole or in part, is strictly prohibited.

Golfswingexperts and its components are offered for informational purposes only. While Golfswingexperts use reasonable efforts to include accurate and up-to-date information, Golfswingexperts does not warrant or make any representations of any kind with respect to the information provided to you through the site. Golfswingexperts shall not be responsible or liable for the accuracy, usefulness or availability of any information transmitted, and shall not be responsible or liable for any error or omissions in that information.

6. INVALIDITY OF SPECIFIC TERMS

If any provision of these terms or any document incorporated by reference is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of such documents remain in full force and effect.

7. INTERSTATE NATURE OF COMMUNICATIONS ON Golfswingexperts NETWORK

When you register with Golfswingexperts, you acknowledge that in using the Golfswingexperts services to send electronic communications you will be causing communications to be sent through Golfswingexperts’ computer networks, portions of which are located in various states throughout the United States and portions of which are located abroad. As a result, and also as a result of Golfswingexperts’ network architecture and business practices and the nature of electronic communications, even communications that seem to be intrastate in nature can result in the transmission of interstate communications regardless of where you are physically located at the time of transmission. Accordingly, by agreeing to this TOS, you acknowledge that use of the service results in interstate data transmissions.

8. CONTENT SUBMITTED OR MADE AVAILABLE FOR INCLUSION ON THE Golfswingexperts SERVICES

By submitting ideas, suggestions, documents, and/or proposals (“Contributions”) to Golfswingexperts through its suggestion or feedback webpages, you acknowledge and agree that: (a) your Contributions do not contain confidential or proprietary information; (b) Golfswingexperts is not under any obligation of confidentiality, express or implied, with respect to the Contributions; (c) Golfswingexperts shall be entitled to use or disclose (or choose not to use or disclose) such Contributions for any purpose, in any way, in any media worldwide; (d) Golfswingexperts may have something similar to the Contributions already under consideration or in development; (e) your Contributions automatically become the property of Golfswingexperts without any obligation of Golfswingexperts to you; and (f) you are not entitled to any compensation or reimbursement of any kind from Golfswingexperts under any circumstances.

10. INDEMNITY

You agree to indemnify and hold Golfswingexperts and its subsidiaries, affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of Content you submit, post, transmit, modify or otherwise make available through the Golfswingexperts services, your use of the Golfswingexperts services, your connection to the Golfswingexperts services, your violation of the TOS, or your violation of any rights of another.

11. GENERAL PRACTICES REGARDING USE AND STORAGE

You acknowledge that Golfswingexperts may establish general practices and limits concerning use of the Golfswingexperts services, including without limitation the maximum number of days that messages, message board postings or other uploaded Content will be retained by the Golfswingexperts services, the maximum number of messages that may be sent from or received by an account on the Golfswingexperts services, the maximum size of any message that may be sent from or received by an account on the Golfswingexperts services, the maximum disk space that will be allotted on Golfswingexperts’ servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access the Golfswingexperts services in a given period of time. Golfswingexperts reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Golfswingexperts services (or any part thereof) with or without notice. You agree that Golfswingexperts shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Golfswingexperts services (or any part thereof).

13. DEALINGS WITH ADVERTISERS

Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Golfswingexperts services, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that Golfswingexperts shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Golfswingexperts services.

20. EXCLUSIONS AND LIMITATIONS

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF SECTIONS 18 AND 19 MAY NOT APPLY TO YOU.

21. NOTICE

Golfswingexperts may provide you with notices, including those regarding changes to the TOS, including by but not limited to email, regular mail, SMS, MMS, text message, postings on the Golfswingexperts services, or other reasonable means now known or hereafter developed. Such notices may not be received if you violate this TOS by accessing the Golfswingexperts services in an unauthorized manner. Your agreement to this TOS constitutes your agreement that you are deemed to have received any and all notices that would have been delivered had you accessed the Golfswingexperts services in an authorized manner.

22. NOTICE AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT OR INTELLECTUAL PROPERTY INFRINGEMENT

Golfswingexperts respects the intellectual property of others, and we ask our users to do the same. Golfswingexperts may, in appropriate circumstances and at its discretion, disable and/or terminate the accounts of users who may be repeat infringers. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide Golfswingexperts’ copyright agent the following information:

  1. an electronic or physical signature of the person      authorized to act on behalf of the owner of the copyright or other      intellectual property interest;
  2. a description of the copyrighted work or other      intellectual property that you claim has been infringed;
  3. a description of where the material that you claim is      infringing is located on the site;
  4. your address, telephone number, and email address;
  5. a statement by you that you have a good faith belief      that the disputed use is not authorized by the copyright owner, its agent,      or the law;
  6. a statement by you, made under penalty of perjury, that      the above information in your notice is accurate and that you are the      copyright or intellectual property owner or authorized to act on the      copyright or intellectual property owner’s behalf.

23. GENERAL INFORMATION

  1. Entire Agreement.      The TOS constitutes the entire agreement between you and Golfswingexperts      and governs your use of the Golfswingexperts services, superseding any      prior version of this TOS between you and Golfswingexperts with respect to      the Golfswingexperts services.
  2. Choice of Law and Forum. You and Golfswingexperts each agree that the TOS and      the relationship between the parties shall be governed by the laws of the      State of Minnesota without regard to its conflict of law provisions and      that any and all claims, causes of action or disputes (regardless of      theory) arising out of or relating to the TOS, or the relationship between      you and Golfswingexperts, shall be brought exclusively in the courts      located in the county of Hennepin, Minnesota or the U.S. District Court      for the District of Minnesota. You and Golfswingexperts agree to submit to      the personal jurisdiction of the courts located within the county of      Hennepin, Minnesota or the Federal Court for the District of Minnesota,      and agree to waive any and all objections to the exercise of jurisdiction      over the parties by such courts and to venue in such courts.
  3. Waiver and Severability of Terms. The failure of Golfswingexperts to exercise or      enforce any right or provision of the TOS shall not constitute a waiver of      such right or provision. If any provision of the TOS is found by a court      of competent jurisdiction to be invalid, the parties nevertheless agree      that the court should endeavor to give effect to the parties’ intentions      as reflected in the provision, and the other provisions of the TOS remain      in full force and effect.
  4. No Right of Survivorship and Non-Transferability. You agree that your Golfswingexperts account is      non-transferable and any rights to your Golfswingexperts account or      contents within your account terminate upon your death. Upon receipt of a      copy of a death certificate, your account may be terminated and all      contents therein permanently deleted.
  5. Statute of Limitations. You agree that regardless of any statute or law to      the contrary, any claim or cause of action arising out of or related to      use of the Golfswingexperts services or the TOS must be filed within one      (1) year after such claim or cause of action arose or be forever barred.
  6. The section titles in the TOS are for convenience only      and have no legal or contractual effect.

24. WHAT TO DO IF YOU WITNESS A VIOLATION

If you witness any user activity in Golfswingexperts that violates the TOS, these Guidelines or the Golfswingexperts.com Rules then in effect, please notify us of such activity. Golfswingexperts cannot guarantee that any action will be taken as a result of your email, but we appreciate your help in making the service a positive experience for everyone.
